Woven Systems Standard Warranty
Limited Hardware Warranty. Woven Systems, Inc. ("Woven") warrants for a period of one (1) year commencing from the date of shipment to Customer (in case of resale by an Authorized Woven Reseller, not more than 60 days from date of original shipment), the Hardware purchased from Woven or its authorized resellers shall be free of defects in material and workmanship under normal use. This warranty shall only apply towards the original customer and is non-transferrable. Defective product shall be limited to Hardware that does not conform substantially to Woven then current published performance specifications. In the event of a failure of any Hardware to comply with the foregoing warranty during the applicable warranty period, (a "Defect") Woven shall, at its sole discretion repair or replace the Hardware that is determined to be defective or refund the fees paid by customer for such Hardware, (subject to the Hardware Return Material Authorization process describe below). The foregoing sets forth Customer's sole and exclusive remedies for a breach of the above limited warranties.
Limited Software Warranty. Woven warrants for a period of ninety (90) days commencing from the date of shipment to customer (in case of resale by an Authorized Woven Reseller, not more than 60 days from date of original shipment), the software products ("Software") purchased from Woven or its authorized resellers that the Software will perform substantially in accordance with the then current Woven published specifications. Woven shall supply a software bug fix as the sole and exclusive remedy of the customer. Woven does not guarantee that the software is free from errors or "bugs" or that the customer will be able to operate the software without interruption or problems. The foregoing sets forth the Customer's sole and exclusive remedies for a breach of the above limited warranties.
Hardware Return Material Authorization. Products shall be non-returnable except as provided in the "Limited Hardware Warranty" set forth above. A customer shall submit a case to Woven Technical Assistance Center (TAC) to place a claim under warranty. If Woven TAC determines the Product to be defective, a Return Material Authorization (RMA) number will be assigned by a TAC engineer and communicated to the customer via email or online notification. Customer must clearly mark the RMA number on the returned item packaging label and return the Products with the RMA form to Woven's designated repair facility, freight and insurance prepaid with a written statement describing the Defect. Woven will be responsible for all return shipping costs of repaired or replacement units to Customer; provided, however, that Woven may refuse any Product not accompanied by an RMA and such refused shipments will be returned to Customer freight collect. Replacement Products will be warranted for the remaining warranty period of the original Product.
Disclaimer. THIS WARRANTY CONSTITUTES WOVEN AND ITS AUTHORIZED RESELLERS SOLE AND EXCLUSIVE LIABILITY HEREUNDER AND CUSTOMER'S SOLE AND EXCLUSIVE REMEDY FOR DEFECTIVE OR NONCONFORMING ITEMS AND IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED, IMPLIED OR STATUTORY INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES AS TO SATISFACTORY QUALITY, PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST, SO SUCH LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO CUSTOMER. IN NO EVENT SHALL WOVEN'S LIABILITY UNDER THIS WARRANTY EXCEED THE COST OF REPAIR OR REPLACEMENT OF SUCH DEFECTIVE ITEM.
Limitation of Liability. IN NO EVENT WILL WOVEN OR ITS AUTHORIZED RESELLERS BE LIABLE FOR COST OF PROCUREMENT OR SUBSTITUTE PRODUCTS BY CUSTOMER, OR FOR ANY LOST REVENUE, LOST PROFITS OR LOST SAVINGS, LOSS OF DATA, BUSINESS INTERUPTION OR FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY ARISING OUT OF THE USE OR INABILITY TO USE THE PRODUCT WHETHER FOR BREACH OR REPUDIATION OF CONTRACT, TORT, BREACH OF WARRANTY, NEGLIGENCE, OR OTHERWISE, WHETHER OR NOT WOVEN WAS ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES. IN NO EVENT SHALL WOVEN'S LIABILITIES TO CUSTOMER EXCEED THE PURCHASE PRICE PAID FOR THE RELEVANT PRODUCTS GIVING RISE TO THE CLAIM.
Woven Systems Limited Lifetime Warranty
Limited Lifetime Hardware Warranty: Woven Systems, Inc. (Woven) warrants that the Hardware Product shall be free of defects in material and workmanship under normal use for as long as the original Customer owns the Product. Defective product shall be limited to Hardware that does not conform substantially to Woven then current published performance specifications. If Woven discontinues sale of the Product, the warranty support is limited to three (3) years after the announced date of discontinuance. During the warranty period, Woven will provide 10 day Return to Factory repair or replacement of products determined to be defective. Woven at its sole discretion shall repair or replace product that is determined to be defective, subject to the Hardware Return Material Authorization process describe below. When applicable, Woven announced discontinuance date for Product shall be posted on the Woven support site.
Limited Software Warranty: Woven warrants that the media upon which the Software is furnished shall be free of defects in material and workmanship under normal use and that the Software will operate substantially in accordance with Woven published specifications for a period of ninety (90) days from date of shipment of products purchased from Woven or its authorized resellers. The sole and exclusive remedy of the customer shall be replacement of software media.
